End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User") and UltiVoice ("Licensor") for the UltiVoice desktop application ("App"). By installing, copying, or using the App you agree to be bound by this EULA. If you do not agree, do not install or use the App.

1. License Grant

Subject to your payment of applicable fees and compliance with this EULA, UltiVoice grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the App on the number of machines ("seats") specified in your purchased license tier, solely for your personal or internal business purposes.

This license does not include the right to redistribute the App, create derivative works, or offer the App's functionality as a competing commercial service.

2. Machine Binding (HWID)

Each activation binds one seat to a specific machine using a hardware fingerprint (HWID) derived from your machine's components. The HWID is stored in a cryptographically signed license file (.lic) on your device and registered with the License Authority.

To transfer the App to a different machine, you must deactivate the current seat via ultivoice.com/account before activating on the new machine. Remote deactivation is available if the original machine is no longer accessible.

3. Restrictions

You must not:

• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code from the App, except to the extent permitted by mandatory applicable law;
• Circumvent, disable, or tamper with the App's license enforcement, HWID binding, or activation mechanisms;
• Share, sell, lease, sublicense, or otherwise transfer your license key or activation code to any third party;
• Use the App to process content for which you do not hold the necessary rights or licences;
• Clone a person's voice without their explicit informed consent;
• Remove or alter any proprietary notices or labels on the App.

4. Offline License File

The App uses a locally stored, ed25519-signed .lic file for offline verification. This file encodes your plan, seat HWID, and expiry information. It is verified using an embedded public key at application startup.

The .lic file is HWID-bound and will not validate on different hardware. Do not copy, modify, or share this file. The App performs periodic background checks with the License Authority to detect revocation; a grace period applies if the server is unreachable (see Offline Use & Renewal).

5. Updates

UltiVoice may provide App updates from time to time. Updates within the same major version (e.g. 3.x) are included with your license at no additional charge. Major version upgrades (e.g. 3.x → 4.x) may require a separate upgrade purchase; pricing and terms will be announced in advance.

Automatic update checks may be performed in the background. Updates are applied only with your consent via the in-app update dialog.

6. AI Output Disclaimer

The App produces AI-generated output including transcripts, translations, and dubbed audio. This output may contain errors, inaccuracies, or unnatural artefacts. UltiVoice makes no warranty regarding the accuracy or fitness for purpose of AI-generated output. You are responsible for reviewing output before publication or commercial use.

You are solely responsible for ensuring that any content you process complies with applicable copyright, defamation, and data-protection laws.

7. Termination

This EULA is effective until terminated. Your rights under this EULA terminate automatically without notice if you fail to comply with any term. UltiVoice may also terminate this EULA immediately upon notice if you materially breach its terms.

Upon termination, you must cease all use of the App and delete all copies in your possession. Sections 3, 6, 8, 9, and 10 survive termination.

8. Warranty Disclaimer

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. ULTIVOICE DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ULTIVOICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OR INABILITY TO USE THE APP. ULTIVOICE'S TOTAL LIABILITY SHALL NOT EXCEED THE LICENSE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Governing Law

This EULA is governed by the laws of the Socialist Republic of Vietnam. Disputes shall be resolved by the competent courts of Vietnam. Mandatory consumer protections in your jurisdiction are not waived.

11. Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and UltiVoice regarding the App and supersedes any prior agreements.
