Terms of Service

1. Acceptance

By downloading, installing, or using UltiVoice ("the App"), or by accessing the website at https://ultivoice.com, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the App or website. Use by minors under 16 requires parental or guardian consent.

2. License Grant

Subject to payment of applicable fees and your compliance with these Terms, UltiVoice grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and run the App on the number of machines permitted by your active license tier.

Each license key is cryptographically bound to a hardware fingerprint (HWID). To move the App to a different machine, deactivate your current seat via https://ultivoice.com/account, then activate on the new machine. See the End User License Agreement for full license terms governing the desktop application.

The App is provided for your personal or internal business use only. You may not distribute, sublicense, or offer the App as a competing commercial service without a separate written license from UltiVoice.

3. Prohibited Conduct

You must not use the App or website to:

• Violate any applicable law, regulation, or third-party rights;
• Dub or reproduce content for which you do not have the necessary rights or licences (see Section 5);
• Clone a person's voice without their explicit consent;
• Conduct fraud, identity theft, phishing, or harassment;
• Distribute malware, ransomware, or harmful content;
• Reverse-engineer, decompile, or circumvent the App's license enforcement mechanisms;
• Share, sell, or publicly disclose your license key or activation code;
• Attempt to exceed your licensed seat count by automated or manual means.

Violation may result in immediate license termination without refund.

4. AI Output Disclaimer

The App uses AI models for transcription, translation, and speech synthesis. AI-generated output — including transcripts, translations, and dubbed audio — may contain errors, mistranslations, or unnatural phrasing. UltiVoice does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated output. You are responsible for reviewing and correcting output before publication or commercial use.

5. User Content Responsibility

You are solely responsible for the source video content you process with the App, including ensuring you hold all necessary rights, licences, and permissions to dub, translate, and distribute that content. UltiVoice does not access your video files and bears no responsibility for copyright infringement or rights violations arising from your use of the App.

6. Payments

Access to the App requires an active paid license. Two payment options are available:

• Polar (international): credit/debit card payments are processed by Polar (polar.sh), our Merchant of Record. Polar handles VAT/GST calculation and collection. UltiVoice does not store or process your payment card data. Polar's terms govern the payment relationship: polar.sh/legal/terms.
• SePay / VietQR (Vietnam): domestic Vietnamese bank transfers processed via SePay. Payment confirmation is automatic after the bank transfer clears.

Refunds are governed by our Refund Policy. Subscription cancellations take effect at the end of the current billing period.

7. Limitation of Liability

THE APP AND WEBSITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ULTIVOICE DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ULTIVOICE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE APP. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE FEES YOU PAID TO ULTIVOICE IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify and hold harmless UltiVoice and its affiliates from any claims, damages, or expenses (including legal fees) arising from your use of the App, your content, or your violation of these Terms.

9. Intellectual Property

UltiVoice and its licensors retain all intellectual property rights in the App, website, and associated materials. These Terms grant you a limited use license only; no ownership is transferred. "UltiVoice" and associated marks are trademarks of UltiVoice.

10. Termination

We may suspend or terminate your license immediately if you breach these Terms. Upon termination, you must cease all use. Local project files and output videos on your device are not deleted by UltiVoice.

11. Governing Law

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-law principles. Disputes shall be submitted to the competent courts of Vietnam. If you are a consumer in a jurisdiction that mandates local consumer protections, those protections are not waived by this clause.

12. Changes to Terms

We may update these Terms. Material changes will be communicated via email to your address on file at least 14 days before the effective date. Continued use after the effective date constitutes acceptance of the updated Terms.
